These website policy (“Policy”) apply to your use and access to Sench’ Website: www.sench.club (the “Website”). 

By accessing or using this Website, you agree to be bound by this Policy. If you do not agree to be bound by the Policy, please do not continue to use this Website. We therefore recommend reading this Policy carefully before continuing to use our Website. 

Member“, “you“, and/or “your” refers to you, the user of the website and bound by this Policy.

Sench“, “the Company“, “we“, “our“, and/or “us” refers to Sench SRL, a company with registered office located at Avenue de Floréal 118, 1180 Brussels, with company number [BE0805162752].

Please note that this Policy must be read in conjunction with our Privacy Policy and Cookie Policy. These policies state how we handle your personal data and which cookies are used on our Website. By using our Website, you also acknowledge that we may use your personal data according to our Privacy Policy and Cookie Policy and agree to the terms stated therein.


DEFINITIONS

“Account”means a user account on the Sench Website.
“Agreement”means the legal agreement between you and Sench created by your access to and use of the Website and/or Services.
“Content”refers to any information, material or data that is published, displayed or transmitted through the website or Social Media. This entails images, videos, text, audio, software, graphics or other files on the website or on Social Media, including content uploaded from third parties.
“Intellectual Property Rights”refers to legal rights arising from intellectual creations including patents, trademarks, copyright and related rights, database rights, design rights, trade secrets, rights to computer programs and other similar rights anywhere in the world. 
“Registration Data”refers to the information provided by you during the online registration process on this Website. 
“Service”refers to any service offered on the Website, including membership profile management, booking of meetings, workshops, training, experiences and Sench advantage management.


CONDITIONS OF USE

The Website is accessible to everyone. However, you must be at least 18 years of age and have the legal capacity to create an Account.
You are solely responsible for your obligations under this Policy.
We reserve the right to modify the Services from time to time and may require you to agree to additional terms for new Services.


ACCOUNT AND SERVICES

To access the Services offered on the Website, you will need to create an Account. You will be asked to select a user ID and password (“Login Information”) for your Account. You should choose a password that is non-obvious and sufficiently secure. Your Login Information is personal, which you should keep confidential and not share with others. In case of theft or unauthorized disclosure, you should immediately notify us at privacy@sench.be and change your Login Information immediately. You are solely responsible for the confidentiality of your Login Information and for any and all activities that occur under your account, whether authorized by you or not. 

When creating an Account or using the Services, you agree to: (a) provide accurate and complete Registration Data when prompted by any registration forms on the Website, (b) update your Registration Data to keep it accurate and complete, and (c) accept full responsibility for any activities that occur under your Account.

INTELLECTUAL PROPERTY 

All components of the Website are protected by Intellectual Property Rights. Unless specified otherwise, Sench and/or its licensors hold the Intellectual Property Rights for all Content placed by Sench on sench.club. All Intellectual Property Rights are reserved.

You may access and use sench.club for personal, non-commercial purposes only, provided that you comply with this Policy, applicable law and any applicable special conditions. 

Without the prior written approval of Sench, you are prohibited from: (a) downloading, reproducing, duplicating, copying any Content from the Website, in whole or in part; (b) re-transmitting, selling, licensing, exploiting any Content placed on the Website; (c) using any data mining, robots, or similar data gathering or extraction methods; (d) manipulating or displaying the Website or its Content using framing or similar navigational technology; (e) using the Website and/or its Content for any purpose other than its intended use (as permitted by this Policy).

If you believe that any material on the Website infringes upon any copyright that you own or control, you may notify members@sench.be. 


HYPERLINKING TO THE WEBSITE 

The following organizations may insert a hyperlink to the Website without prior written approval: (a) government agencies; (b) search engines; (c) news organizations; (d) online directory distributors who may insert a hyperlink to the Website in the same manner as they insert hyperlinks to other listed businesses; and (e) Sench Members. These organizations may insert hyperlinks to the home page, publications or other Website information, as long as the hyperlink: (a) is not misleading; (b) does not falsely imply sponsorship, endorsement, or approval from us in relation to the party who inserted the hyperlink (the “Linking Party”) and its products and/or services; (c) fits within the context of the Linking Party’s website. 

We may consider and approve, at our discretion, other requests to insert a hyperlink to the Website from organizations such as: (a) commonly-known consumer and/or business information sources; (b) community sites; (c) associations or other groups representing charities; (d) online directory distributors; (e) internet portals; (f) accounting, law, and consulting firms; and (g) educational institutions and trade associations. If we approved inserting a hyperlink to the Website, the hyperlink will refer to the home page and must: (a) not be misleading; (b) not falsely imply sponsorship, endorsement, or approval from us in relation to the Linking Party and its products and/or services; (c) fit within the context of the Linking Party’s website. 

If you are an organization listed in the above paragraph and are interested in inserting a hyperlink to the Website, you must first obtain our written approval by notifying us through sending an e-mail to info@sench.be. Please include your name, organization name, contact information, URL of your website, a list of URLs from which website you plan to insert a hyperlink to our Website, and a list of URLs of our Website to which you would like to link. Please allow 2-3 weeks for a response.

The use of Sench’ logo or other artwork for linking purposes is strictly prohibited without a valid license agreement. 

We will not be held liable for any content that appears on or quality of these websites who have inserted hyperlinks to our Website, nor for these websites’ compliance with applicable laws. 

You are responsible for defending, indemnifying, and holding harmless Sench, its subsidiaries, affiliates, licensors, employees, agents, third-party information providers, and independent contractors from any claims, damages, costs, liabilities, and expenses, including but not limited to reasonable attorney’s fees, arising from or related to the inserting of hyperlinks to our website by you. We reserve the right to request that you remove any hyperlinks to our Website, and you are required to immediately remove all hyperlinks upon request. 

If you encounter any offensive hyperlinks on our Website, you may notify us by sending an email to info@sench.be. We will consider requests to remove hyperlinks, but we are not obligated to do so and may not respond directly.


CONTENT ACCURACY AND WEBSITE ACCESS 

While we strive to ensure the accuracy and reliability of the Website’s Content, we cannot guarantee that the information on the Website is correct, complete, up-to-date, or accurate. The Website and its Content are provided “as is” and without warranties. Use of the Website or of its Content included on it is solely at your own risk. 

The Website is hosted by a third-party service provider and we cannot guarantee continuous or error-free access. Sench has the right to optimize, adapt and discontinue our Website, our Services and/or our Content at any time and without prior notice. In case of temporary or definitive unavailability of our Website, our Service and/or our Content, you are not entitled to any damages or other compensation.

Any necessary servicing, repair or correction costs due to your use of the Website are your responsibility. We do not guarantee that the Website or its Content is free from viruses or any other contaminating or destructive properties. 

The Company offers a search feature on the Website, but we do not take responsibility for the content or availability of information contained in our search index or directory. The completeness or accuracy of any directory or search result is also not guaranteed.


LIABILITY

You are responsible for your own use of the Website. You agree to defend, indemnify, and hold the Company, its subsidiaries, affiliates, licensors, employees, agents, third-party information providers and contractors harmless against any claims, damages, costs, liabilities and expenses (including reasonable attorney’s fees) arising from or related to your use of the Website, your breach or alleged breach of the Website’s Policy (including all policies placed on the Website), or your violation of any third party rights.

To the fullest extent permitted by law, we exclude all warranties and representations regarding our Website and its use. However, we will not limit or exclude our liability for: (a) death or personal injury; (b) fraud (‘fraude’/’bedrog’); (c) willful misconduct (‘dol’/’opzet’) ; and/or (d) gross negligence (‘faute grave’/“zware fout”) and/or (e) any liability that cannot be validly excluded under the applicable laws. The limitations of liability in this Policy are subject to this paragraph. 

The Company shall not be liable for any possible damages, of whatever nature, including but not limited to the loss of use, loss of profits and loss of data, both direct and indirect, which you might suffer as a result of or connected to the use of the Website or reliance on our Services or Content. This includes damages caused by reliance on information obtained from the Company, mistakes, omissions, interruptions, deleted files or e-mail, errors, defects, viruses, delays in operation or transmission, any failure of performance or communication, theft, destruction or unauthorized access to the  Website and the Company’s databases.


TERMINATION 

The Company reserves the right to terminate your Account and/or block your use of the Website at any time, without notice and in its sole discretion.


APPLICABLE LAW AND COMPETENT COURT 

This Policy and our Agreement with you will be governed and construed in accordance with the laws of Belgium. Any disputes relating to your use of the website or Content and/or the Agreement will be submitted to the exclusive jurisdiction of the French speaking division of the Courts of Brussels.


MISCELLANEOUS 

If any provision of this Policy is, for any reason, deemed illegal, invalid, unenforceable, or in conflict with any applicable law, it will not affect the legality, validity and enforceability of the remaining provisions. The remaining provisions of the Policy will be deemed modified, trying to achieve the original intention of Sench.

Any delay or failure to enforce rights in the event of a breach by the other party will not be construed as a waiver of those rights.

When third parties are allowed to upload Content themselves (e.g., on Social Media), they are prohibited from uploading copyrighted material (unless approved by Sench) and Content that is offensive.


MODIFICATIONS

We reserve the right to modify this Policy or any policies or guidelines on the Website at any time and in our sole discretion. If we make changes, we will post a notice on the Website and publish the updated version of the Policy. The updated Policy will apply from the moment they are announced on the Website. Your continued use of the Website following any changes indicates your acceptance of the updated Policy.
